Welcome to Workbookly! These Terms of Service ("Terms") constitute a legally binding agreement between you and Workbookly ("we," "our," or "us") regarding your use of our website at workbookly.app and related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all users of the Service, including creators, students, and visitors.

2. Eligibility

To use our Service, you must:

For Creators

  • AI-powered workbook generation from YouTube video transcripts
  • Custom creator pages (e.g., workbookly.app/yourname)
  • Workbook publishing and management tools
  • Analytics and student engagement metrics

For Students and Learners

  • Access to interactive educational workbooks
  • Online practice exercises and quizzes
  • PDF download capabilities for offline use
  • Progress tracking and scoring

5. User Content and Intellectual Property

Your Content

You retain ownership of any content you create or upload ("User Content"), including:

  • Video transcripts and educational materials
  • Workbook titles, descriptions, and custom content
  • Profile information and creator branding

License to Us

By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to:

  • Host, store, and display your content on the Service
  • Process your content to generate educational materials
  • Make your published workbooks accessible to students
  • Create backups and ensure service availability

Content Standards

All User Content must:

  • Be accurate and not misleading
  • Comply with copyright and intellectual property laws
  • Be appropriate for educational purposes
  • Not contain harmful, offensive, or illegal material
  • Respect third-party rights and privacy

6. Prohibited Uses

You may not use the Service to:

Illegal Activities

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Distribute copyrighted material without permission
  • Engage in fraud or deceptive practices

Harmful Content

  • Upload malicious software or viruses

Technical Abuse

YouTube Content

When you provide YouTube URLs, you confirm that:

  • You have the right to use the video content for educational purposes
  • The video transcripts are publicly available
  • You comply with YouTube's Terms of Service

AI Processing

Transcripts are processed by OpenAI to generate educational questions. This processing is done securely and in accordance with OpenAI's data usage policies.

9. Disclaimers and Limitations

Service Availability

  • We strive for high availability but cannot guarantee uninterrupted service
  • Maintenance, updates, or technical issues may cause temporary downtime
  • We reserve the right to modify or discontinue features with notice

Educational Content

  • AI-generated questions are automated and may contain errors
  • Creators are responsible for reviewing and editing their content
  • We do not guarantee the accuracy or effectiveness of educational materials
  • Learning outcomes depend on individual effort and circumstances

Third-Party Services

Our Service integrates with third-party platforms (YouTube, Stripe, OpenAI). We are not responsible for the availability, accuracy, or policies of these external services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
  • WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
  • WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE LAST 12 MONTHS

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so these limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Workbookly and its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

  • Your User Content or violation of these Terms
  • Your violation of any third-party rights
  • Your violation of applicable laws or regulations

12. Termination

Termination by You

You may terminate your account at any time by contacting us or using account settings. Upon termination:

  • Your access to creator features will cease
  • Published workbooks may remain accessible to existing students
  • You may request deletion of your data per our Privacy Policy

Termination by Us

We may suspend or terminate your account if you:

  • Violate these Terms or our policies
  • Engage in fraudulent or illegal activities
  • Upload inappropriate or harmful content
  • Fail to pay applicable fees

Effect of Termination

Upon termination, your license to use the Service ends, but these Terms will continue to apply to your prior use of the Service.

13. Governing Law and Disputes

These Terms are governed by the laws of California, without regard to conflict of law principles.

Dispute Resolution

Before pursuing legal action, we encourage you to contact us to resolve disputes informally. If informal resolution fails:

  • Disputes will be resolved through binding arbitration
  • Arbitration will be conducted by a neutral arbitrator
  • You waive the right to participate in class action lawsuits

Assignment

You may not assign these Terms without our consent. We may assign these Terms without restriction.

Waiver

Our failure to enforce any provision does not constitute a waiver of our rights.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

  • Sending email notifications to registered users
  • Displaying prominent notices on our website

Changes become effective 30 days after posting unless you disagree and terminate your account.

Your continued use after changes become effective constitutes acceptance of the updated Terms.
